About HCA’s Board of Directors

HCA’s Board of Directors is responsible for the overall management of the Authority, with a focus on strategic planning, financial oversight, corporate policy and programs.

Municipal Member appointments to the Board
Board members are appointed by our two participating municipalities, the City of Hamilton and Township of Puslinch.

The current composition of HCA’s Board of Directors includes 11 individuals, with 10 members from the City of Hamilton, 7 elected officials and 3 citizen appointments, and one (1) member from the Township of Puslinch. The 11-member Board was established in 2000 with resolutions passed by both participating municipalities and reaffirmed again 2021. Please see the links below for the Municipal Member Agreements.

The Chair and Vice-Chair fulfill their functions at the Board of Directors and advisory committee meetings. These positions are elected by members of the Board of Directors at the annual general meeting. On June 8, 2023, the Minister granted HCA an exception to subsection 17 (1.2) of the Conservation Authorities Act, from the requirement to annually rotate the Chair and Vice-Chair amongst participating municipalities, as HCA only has one member from the Township of Puslinch who would be required to be the Chair or Vice-Chair every year. The exception is valid for the 2023 and 2024 terms.

Under the Clean Water Act, the members of the HCA Board also serve as members of the Hamilton Region Source Protection Authority (HRSPA).

HRSPA meetings are held when required prior to Board of Directors meetings, in order to carry out duties associated with drinking water source protection and to protect existing and future drinking water sources.

The Board of Directors may also establish advisory boards and committees as it considers appropriate. Currently, there are two (2) advisory committees — Budget & Administration Committee and Conservation Advisory Board — each with its own mandate and Terms of Reference. The public may attend all meetings of the Board of Directors and its advisory committees. Due to COVID-19, HCA Board of Directors and advisory committee meetings will be held in person for Board members and designated staff only, until further notice.
